DETAILS OF SHARING OF BASIC INFORMATION 
Nextus Enterprises, Inc. is a Marketplace and a Training Center. We contract our marketing personnel as Independent Advertising Affiliates (IAA). Each IAA is governed by an Independent Contract Agreement which allows them to refer people to us and become an Inviter a.k.a. Affiliate Sponsor. Because they are compensated by referral fees for purchases and other activities you may participate in with us, and for purposes of completing your business transactions and to assist in your training with our company, we will only exchange your "basic" information (name, e-mail address, and phone number) with the above-mentioned Affiliate Sponsor when you sign up. Because you may not personally know your Inviter in advance, you will also be notified as to the identity of your Affiliate Sponsor and given their basic contact information as well. By making a purchase through our Affiliate link or identification number you expressly agree that your name and email address may be shared with your Affiliate Sponsor.

We do use cookies on our sites. Cookies are small files that a site or its service provider transfers to your computer's hard drive through your Web browser (if you allow) that enable the sites or service providers systems to recognize your browser and capture and remember certain information.

We may use Personally Identifiable Information (your name, e-mail address, street address, telephone number) subject to the terms of this privacy policy. 

HOW WE GATHER INFORMATION FROM USERS

HOW DO WE PROTECT YOUR INFORMATION
We implement a variety of security measures to maintain the safety of your personal information when you place an order or enter, submit, or access your personal information. 
We also offer the use of a secure server. All supplied sensitive/credit information is transmitted via Secure Socket Layer (SSL) technology and then encrypted into First Data's servers to remain confidential. Your private credit card information is NEVER stored on our servers. Your SSN # or Tax ID # is encrypted, before being stored on our servers. All emails sent from our server have a self unsubscribe link. You may also cancel your account entirely from our member's area, or by notifying us, via our contact page. Please note if you become a member, your data is kept indefinitely for our reporting records. However - if you cancel your account, you will no longer receive emails, and your login and website will be disabled.

PERMISSIONS GRANTED: By using our site, you consent to our website’s privacy policy.

As of the current date our company is in the certification process for the recent updates to the Application-To-Person Messaging (A2P) regulations. Definition: A2P (application-to-person) messaging is defined as the process of sending text messages from an application, rather than a person, such as Simple Texting, directly to a mobile user. It’s also commonly referred to as “enterprise” or “professional” SMS.

The advertising locations both online and in local locations who are not members of Nextus Bizhub are not affiliated with the Shopping Spree contest. Neither non BizHub members nor BizHub members who have not agreed to sponsor the contest by way of donation to it, do not endorse the contest in anyway. This includes radio stations, newspapers, social media sites including: Google, YouTube, Meta Platforms, Facebook, Instagram, Twitter, LinkedIn, TikTok, nor any other non-participating locations or websites which Nextus uses for adverting.

CHILDREN
The Company does not knowingly collect or solicit Personally Identifiable Information from or about children under 13 except as permitted by law.
Further, per COPPA regulations in the US and the GDPR in Europe, we do not maintain the site to serve users or customers under the age of 13. If we discover we have received any information from a child under 13 in violation of this policy, we will delete that information immediately. GOVERNING LAW
Nextus Enterprises, Inc. is a  California corporation. These policies and the use of this Site are governed by California law. If a dispute arises under this Policy, we agree to first try to resolve it with the help of a mutually agreed-upon mediator in one of the following locations: Alameda County, Hayward, California, USA. or Alameda County, Fremont California, USA. Any costs and fees other than attorney fees associated with the mediation will be shared equally by each party.

If it proves impossible to arrive at a mutually satisfactory solution through mediation, we agree to submit the dispute to binding arbitration at the following location: Alameda County, Hayward, California, USA, under the rules of the American Arbitration Association. Judgment upon the award rendered by the arbitration may be entered in any court with jurisdiction to do so.

The Company is controlled, operated and administered entirely within the State of California, however, as a C-Corporation, it's officers, directors and subsidiaries may be located in various US States or other Countries. In short: Nextus Media Associates, LLC. functions as a Training Academy (school), Advertising Agency, and eCommerce Center providing various income opportunities as well as products and services. Except for direct salaried form W-4 employee jobs, all affiliates, sales and marketing representatives of Nextus Media Associates, LLC. will work via an Independent Contractors Agreement and will receive a form 1099 once a year. A lifetime membership to our SelfHelp Money Bookstore and the stores located within the ShopNextus Mega-Mall is currently available to the general public for $1. The Company is also a Publisher and Seller of Periodicals, Journals, Magazines, and Books. In this capacity, we also produce Advertising, Marketing & Reputation Video Services for local businesses via Nextus BizHub Project and we are a Creator of Websites, Blogs, Online Business Directories and other Intellectual Properties. The new Nextus PayRaise Program provides preparatory training for the more advanced Nextus Academy in an atmosphere which also provides the opportunity for potential income through our ecommerce marketing system and marketing funnels. Finally, Nextus Media Associates provides a variety of marketing, advertising and video services to local business communities through our Agency Partner Program with the Nextus BizHub Project.

NOTICES: 1) These terms serve as an agreement between Nextus Media Associates, LLC., a California, USA based Marketing, Advertising and Training Firm (hereafter referred to as "the company" or "Nextus" or "we"), and You (hereafter referred to as the "Customer" or "Affiliate" or "User" or "Shopper" or "Business Entity" or "You").
2) The company has a material financial connection to the providers of the goods and services referred to on the sites, as well as to the Independent Affiliates and the non-Affiliate Customer Users. The company may receive compensation for products and services offered on these websites.

The company agrees to receive payment for all qualified sales of products or services as well as payment for all training programs and classes offered on the sites. The company will maintain the records (e.g., P & L Statements) and the sales process, the collection of revenues as well as the commission and payroll services for all Users of these websites. In addition to its own programs, the company may also be advertising on behalf of third-party advertisers with whom, as the provider of the products or services, also have a material financial connection in that both the advertiser and the company receive payment collected by the company and paid out accordingly to all parties concerned. 

GENERAL TERMS 
Nextus Media Associates is divided into three major divisions:
1) The 123PayRaise Program, the new Nextus 123PayRaise Program and Nextus Academy are located in a this Membership Site. Each of these specializes in a different department of Nextus Media Associates, LLC. The education sites are geared to help adults 18 and over to earn extra income working from home.
a) If you are not at least 18 years of age, or 16 if legally emancipated, please DO NOT ATTEMPT TO BECOME AN AFFILIATE without a parent or guardian.

2) Ecommerce, the sale of products and services: The SelfHelpMoney Bookstore and the ShopNextus Mega Mall are also located in this Membership site. Teenage membership access (13 to 17 years of age) is currently not promoted, but it may be allowed with the co-signed guidance of a parent or guardian.

3) Nextus Bizhub,  is set up as an advertising and marketing services agency to help local businesses with lead generation, video marketing reputation and branding, citations and SEO. 

The Nextus PayRaise Refund Policy: Our Nextus PayRaise product line and services are intended for and deemed fit for educational use only. We cannot make any income guarantees (see Earnings Disclaimer). We have made and will continue to make every attempt to ensure that the quality and educational value of our products and services exceed expected and standard values. THERE ARE NO REFUNDS ON TRAINING CLASSES, DOWNLOADABLE PRODUCTS OR VIRTUAL PRODUCTS. All Affiliate Training Sales and Fees Are Final. Since these products are non-recoverable, any attempts of a charge back on these products or services will be contested by our legal department, and may be pursued as an attempt to defraud
the Company. We maintain all Intellectual Property Rights. see REFUND POLICY BELOW.

Membership Terms for:
a) Store Customers: Because the ShopNextus Store is a Private Membership site and requires personal information (e.g. name, email address, and phone number) for membership, you must also be at least 18 to join ShopNextus. Further, per COPPA regulations in the US and the GDPR in Europe, we do not maintain the site to serve users or customers under the age of 13;
b) Affiliates: You agree that if you are joining Nextus as an Affiliate, that you are at least 18 years of age and you agree to comply with all applicable laws in the jurisdiction where you live. Affiliates must complete our Independent Affiliate Agreement and (if in the USA) provide an IRS Form W-9 to be paid over $600;
c) Personal Information: You must have a valid email address, and phone number to place orders. You agree to update your profile if your information changes.  We will not store or maintain a record of your credit card or other personal financial information on our site;
d) Email Acceptance: You agree to accept email updates regarding our program. We will never bombard you with emails or spam. With the exception of Urgent Notices, Recruiting Sign up Notices, Commission Notices, and Training Program lessons or down-loadable worksheets which you have paid to receive, we limit our regular information mailings to 4 or less a week.

CANCELLATION POLICY
Users may cancel at any time, by using the self-cancellation feature in the members area, or by requesting their account be cancelled, using our contact support form. If you cancel your membership with the self-cancellation feature, it becomes effective immediately. If you cancel via our support system, your cancellation will go into effect within 48 hours on business days Mon-Fri. No refunds are available for any unused portion of your services. However, you will be paid for orders received during any remaining Affiliate fee period on your regular Friday pay date for the order.

SERVICE AVAILABILITY & LIABILITY
This website is provided on an as is, and as available service. We make no warranties of any kind, either expressed or implied.
We make no guarantees of any kind. You use our website and services at your own risk.
Under no circumstances, including negligence, shall we, or anyone else involved in creating, producing or distributing this service, be liable for any direct, indirect, incidental, special or consequential damages that result from the use of, or inability to use this service, and all the files and software contained within it, including, but not limited to, reliance on any information obtained through this service; or that result from mistakes, omissions, interruptions, deletion of files or e-mail, errors, defects, viruses, delays in operation, or transmission, or any failure of performance, whether or not limited to acts of God, communications failure, theft, destruction or unauthorized access to our records, programs or services.
As an LLC, we are planning for a long-term future in business. In the unlikely event that this program should ever terminate its operations, its creator, operators, employees, assigns and successors shall not be held liable for any loss whatsoever to our customers.

UNAUTHORIZED USE OF SERVICES
The following actions may result in the immediate termination of your membership without recourse and should NOT be done:
a) sending unsolicited email messages (SPAM). If you are found to be participating in spam on behalf of ANY product or service, you will not be eligible to continue with Nextus,
b) using irresponsible or illegal marketing practices, which may offend others, and hurt our brand,
c) using SPAM Bots, Email Scrapers, or Form Scrapers with our websites.

PROHIBITED ACTIVITIES
Sites and individuals involved with the following activities are NOT ELIGIBLE: selling, providing or linking to unlicensed content, pornography, warez, pirated software, hacking or spamming software, Spam bot software (FB and messenger and social media site bots are allowed), email address list harvesting software, or any materials endorsing violence, hatred, revenge, racism, victimization, gambling or criminal activity.

TERMINATION
Members caught spamming or otherwise causing harm to our program or it's users, will have their accounts terminated, and may be subject to prosecution for their actions.
We may terminate without notice, at our sole discretion, any membership deemed to be in breach of this agreement or otherwise found to be abusing or misusing the service or harassing the other members or administrators in any way.

REVISION OF TERMS
We reserve the right to add or delete material within this site, and otherwise make changes to the service without notice. Updates and additions to this agreement will be posted, dated and emailed to all users.

      3. Agreement to Official Rules
Participation in the Sweepstakes constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.

      4. Sweepstakes Periods 
This is a bi-annual Sweepstakes held twice a year: on a Saturday in June approximately one week before the 4th of July, and a Saturday in December approximately one week before Christmas. The first Drawing shall be in the Winter of 2023.

The Drawing for Sweepstakes Period #2 will be held on July 4, 2024, at High Noon in public at one of the Merchant Sponsor locations (to be announced). It will be recorded and Live Streamed to the Nextus Facebook Group and on the Nextus YouTube Channel.
NOTICE: ALL ENTRIES ARE VALID THROUGH TWO SWEEPSTAKES PERIODS. Entries that are submitted before or after the end of a Sweepstakes Period will be accepted for the next Sweepstakes and its duration will be for the next two Sweepstakes Periods.       5. How to Enter
Online: Go to our website at https://www.123Payraise.com and fill out the form on the sign up page and agreeing with the Terms & Conditions. You will be subscribed to our email Notification List for free and assigned a Sweepstakes Number, even if you do not move forward and join the $1 Lifetime Access to our Private Shopping Center.

Limit one (1) entry per person, per email address, and per household for the duration of two Sweepstakes Periods. Entries received from any person, e-mail address, or household in excess of the stated limitation will be void. All entries become the property of Sponsor Nextus Enterprises, Inc. and will be acknowledged by email, but will not be returned. 

       6. Prize Drawing
At High Noon on any Drawing date. the Sponsor will select potential winners in a random drawing from among all eligible entries received. The odds of being selected depend on the number of entries received. The Sponsor will attempt to notify the potential winner via telephone, text and email on or about the afternoon of each drawing.
If the potential winner cannot be contacted within five (5) days after the date of the first attempt to contact him/her, the First Runner Up will receive the Grand Prize. If they cannot be contacted, the Grand Prize will pass to the Second Runner Up. 

      7. Winner Notifications 
The potential winners will be notified by email, text or phone. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Sweepstakes is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Sweepstakes and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. INDEPENDENT AFFILIATE AGREEMENT

This Independent Contractor Agreement a.k.a. Independent Affiliate Agreement (“the Agreement”) contains the terms for Advertising and Marketing Services, Affiliate Training and payment of commissions between the parties. The Agreement is made by and between Nextus Media Associates, LLC, located at 5500 Stewart Street, Suite 151, Fremont, California 94538 whose mailing address is 22568 Mission Blvd #428, Hayward, California 94541 (hereafter: "the Company")
AND the Applying Affiliate who has verified their email address upon sign up and has also verified their Name and payment information on the $1 Order Form and receipt. It is accepted by the Affiliate upon the completion of the Electronic Checkbox below and finally by clicking the "I Accept the Affiliate Agreement" button on this page. (Said Affiliate is hereafter: "the Affiliate").

The Agreement is deemed to be effective and binding by both parties upon the Affiliate agreeing to the Company's Terms as stated herein.

It is further understood that the Affiliate cannot receive commissions without remaining on "ACTIVE STATUS" with the Company. ACTIVE STATUS is based upon the Affiliate paying the $8 monthly Affiliate fee. ALL NEWLY SIGNED AFFILIATES ARE EXCUSED FROM PAYING THE $8 AFFILIATE BY ACCEPTING THE $1 CHALLENGE WHICH GIVES THEM A WAIVER OF THE $8 FEE AND FREE ACTIVE STATUS FOR 36-DAYS, at which time the Affiliate will be billed the $8. Active Status billing is automated; therefore, if an Affiliate elects to opt out of the Affiliate program they may do so, but they must notify Nextus in writing anytime prior to two days before the billing date.

SECTION 1: INDEPENDENT CONTRACTOR RELATIONSHIP
1a) The Affiliate agrees that he/she is NOT an Employee or Agent of the Company. Nor is the Affiliate eligible for employee benefits. Before an Affiliate who is from the USA can receive pay they must provide certain information (such as, but not necessarily limited to a completed W-8 or W-9). When an US Affiliate receives $600 or more in a calendar tax year (January - December) they will receive a form1099 with an accounting of all earnings.
1b) IF YOU ARE NOT A RESIDENT of the United States, taxes (including without limitation VAT) may be withheld where required by applicable law. You are solely responsible for complying with all tax laws in your respective jurisdiction(s) including, but not limited to, the payment of all required taxes to, and filing of all returns and other required documents with, the applicable governing body(ies).
1c) The Company shall not be liable for withholding taxes, Worker's Compensation, unemployment insurance, employer's FICA, Social Security, withholding tax or any other taxes or withholding for or on behalf of the Affiliate.
1d) All costs (if applicable) or expenses of doing business shall be the sole responsibility of the Affiliate.

SECTION 2: ENGAGEMENT
The company hereby engages the Affiliate to render the following services: Advertise the Company's services to perspective students, affiliates or clients via social media, email, blogs websites, etc. Making Sales is included, but NOT REQUIRED of Independent Advertising Affiliates. SPAM IS NOT PERMITTED (see the Company's Terms of Service)

SECTION 3: COMPENSATION
All Affiliate compensation shall be on a commission basis. Due to the diversity of products and services offered by the company, each of the four departments (Nextus Adworks, Nextus Agency, Nextus Academy, and all Nextus Stores) shall maintain independent Compensation plans. Affiliates will be paid according to a percentage of the retail price set by the department their referrals chose to purchase products from. However, the company's basic rules for commission payment amounts range from 15% to 100% commission per product sold. 

3a) THE REGULAR NEXTUS PAY PERIOD is for all products or services that come directly from Nextus. Our pay period begins at 12:00 midnight on Saturday and runs until 11:59pm on Friday and pays on the following Friday (i.e. All orders received from midnight Saturday April 2nd, through 11:59pm Friday April 8th, would pay you on Friday April 15th.) If you are working regularly, you should earn something every week; however as seen in the Earnings Disclaimer above, we cannot legally guarantee you will earn any money from Nextus unless we close a sale resulting from your referrals. Affiliates must have a minimum $25 in commission to receive a pay disbursement. Earnings of less than $25 will be held until the minimum is acquired or a termination occurs.

3b) THIRD PARTY ORDERS are orders where the products or services are provided from companies other than Nextus. In addition to our own products, Nextus works with many Vendors, Nextus Partners and Nextus Associates. Most 3rd Party venders are only offering products in the Nextus BizOpp Shop. NOTE: WE CANNOT DICTATE PAYROLL, SHIPPING NOR HANDLING POLICIES TO THIRD PARTY VENDORS UNLESS WE PURCHASE, INVENTORY AND STOCK THEIR PRODUCTS IN ADVANCE. Therefore, third party sales may be on a different payroll and commission  schedule, in accordance with the commission structure and the Terms and Policies of each 3rd Party vendor. Nextus Affiliates will be notified on the sales pages in advance of purchase when this affects their pay.

TERMINATION OF AGREEMENT
THIS AGREEMENT MAY BE TERMINATED BY EITHER PARTY AT ANY TIME. However, should you terminate the agreement, your payment for any services rendered, or orders closed, will not be paid until your regular Friday pay day for that order. PRODUCT REFUND POLICIES
Nextus offers a wide variety of products and services. Some carry Refund Policies and OTHERS ARE NON-REFUNDABLE. The Refund Policy or Non-Refund Policy on each of our products or services is clearly stated on every vending Order Page.

a) NEXTUS ACADEMY: Nextus Affiliates and the 123 PayRaise Program offer a variety of Affiliate classes as well as products which are digital in nature and commissions are paid on short terms; therefore, ALL SALES OF DIGITAL PRODUCTS FROM THESE PROGRAMS ARE FINAL. We offer No refunds on these Digital Affiliate products as is clearly stated on every product or service Order Page.

a1) 123 PayRaise Refund Policy: Our 123 PayRaise product line and services are intended for and deemed fit for educational use only. We cannot make any income guarantees (see Income Disclaimer). We have made and will continue to make every attempt to ensure that the quality and educational value of our products and services exceed expected and standard values and are updated frequently. THERE ARE NO REFUNDS ON TRAINING CLASSES, DOWNLOADABLE PRODUCTS OR VIRTUAL PRODUCTS. All Affiliate Training Sales and Fees Are Final. Any attempts of a charge back on these products or services will be contested by our legal department, and may be pursued as an intent to defraud the Company. We maintain all Intellectual Property Rights.

b) Nextus Adworks offers Affiliates, Stores and Agency Clients Advertising for sale. The Refund Policy or Non-refund policies are clearly stated on the vending order pages of each product.

b) ShopNextus Stores offer both digital and physical products as well as services, advertising, and income opportunities. The Refund Policy or Non-Refund Policy on each of our product or service is clearly stated in every product’s Order Page Process.

c) Refunds on Third Party and Joint Venture Products: We carry many products that are produced by third party vendors and Joint Venture Associates. For example, Nextus Free-Leads Generator is one of our third-party joint venture digital/software products. As all such products, it has a limited time Refund Policy which is clearly stated in its Order Page Process.
